Terms of Service

By creating an account or using the Service, you confirm you are at least 18 years old (or the age of majority in your jurisdiction), have read and understood these terms, and accept them on your own behalf and on behalf of any organization for which you are signing up.

SEONova provides SEO and AI-search analytics — including rank tracking, AI visibility monitoring, site auditing, keyword research, content briefs, and backlink analysis — through a web application and APIs. The Service is provided as a software-as-a-service product on the plans described on /pricing. We may add, change, or remove features over time; material removals are announced in advance.

You're responsible for maintaining the security of your account, keeping your password (or SSO credentials) confidential, and for all activity that happens under your account. Tell us promptly if you suspect unauthorized access.

• One account per person. Shared accounts violate these terms — use team seats instead.
• Provide accurate information when signing up and keep it current.
• You're responsible for what your teammates do under workspace seats you grant.

Paid plans are billed in advance on a monthly or annual cycle depending on what you select. All fees are quoted in US Dollars unless otherwise stated.

• Your card is automatically charged at the start of each billing period.
• Subscription changes (upgrades, downgrades, cancellations) take effect at the start of the next billing period unless we explicitly say otherwise.
• Refunds are issued at our discretion. We're generally happy to issue refunds within 14 days of a charge if the Service didn't deliver what we promised.
• Taxes (GST, VAT, sales tax) are added where required by law.

We offer a free tier with reduced limits, and a 14-day trial of the Pro plan on signup. We may limit, suspend, or terminate free-tier access at any time, particularly where we detect abuse or violation of the Acceptable Use rules below.

You agree not to use the Service to do any of the following:

• Violate any law, regulation, or third-party right.
• Send spam, phishing emails, or other unsolicited communications.
• Scrape, mirror, or resell the Service or its data.
• Reverse-engineer or attempt to extract source code.
• Use the Service to compete with us in building a similar SEO/AI-visibility analytics product.
• Probe, scan, or test the vulnerability of the Service without prior written permission (responsible disclosure exception: see /security).
• Interfere with or disrupt the Service or other users' use of it.
• Bypass any rate limits, technical restrictions, or security controls.

You retain ownership of all content and data you provide to or generate inside the Service ('Customer Content'). You grant us a limited, non-exclusive license to host, process, and display Customer Content solely as needed to provide the Service to you.

On termination, we delete Customer Content according to the retention schedule in our Privacy Policy. Export your data before terminating if you want a copy.

We own the Service, including all software, code, designs, trademarks, and content we create (except open-source components, which keep their own licenses). Nothing in these terms transfers ownership of our intellectual property to you.

You're welcome to use SEONova screenshots and Customer Content you generated inside the Service for your own communications. Don't use our trademarks or claim affiliation with us without written permission.

We treat your data as confidential. We don't share, sell, or use it for purposes beyond operating the Service. We expect the same in reverse: don't share confidential information we provide you (pricing details, beta features, security architecture) without our consent.

We aim for high availability, but the Service is provided 'as is' and we don't promise zero downtime. Enterprise plans include a written uptime SLA; other plans don't.

Scheduled maintenance is announced in advance via the status page (status.seonova.io). Unscheduled outages are reported on the same page in real time.

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE'. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SEO outcomes depend on many factors outside our control, including search engine policies, algorithm changes, and third-party AI model updates. We don't guarantee specific rankings, traffic, conversions, or AI mention rates.

TO THE FULLEST EXTENT PERMITTED BY LAW: OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) US $100.

WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY.

Some jurisdictions don't allow these limitations; in those cases, our liability is limited to the maximum extent permitted by law.

You agree to indemnify us against claims, damages, and reasonable legal fees arising from your violation of these terms, your misuse of the Service, or your infringement of third-party rights through your use of the Service.

You can terminate your subscription anytime from your account settings. Termination takes effect at the end of the current billing period.

We may suspend or terminate your access if you materially violate these terms, abuse the Service, or fail to pay fees when due. We'll generally give notice and a chance to cure before terminating, except in cases of severe abuse.

These terms are governed by the laws of India, without regard to conflict of laws principles. Disputes will be resolved in the courts of Bangalore, Karnataka, India, except where applicable law gives consumers protections we can't override.

Before filing any formal claim, please email hi@seonova.io to give us a chance to resolve the issue directly. Most disputes are misunderstandings that get sorted out in an email.

We may update these terms as the Service or applicable law changes. Material changes are announced by email to account holders at least 30 days before they take effect. Continued use after that date constitutes acceptance.

If any part of these terms is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You can't assign your rights under these terms without our consent; we may assign ours to an affiliate or successor without your consent. These terms (together with the Privacy Policy and any plan-specific addendums) are the entire agreement between you and us.
